| | | Elmer B. Stewart, P.Geol, MSc. ( Calgary, Alberta) Position: Chairman of the Board and Director
Mr. Stewart has been a private consultant since November 2000. Prior to this he served as:
- President and Chief Executive Officer of Eurasia Gold Corp., a public (TSX-V) mineral exploration and gold producing company from March 1997 to November 2000;
- President and a director of Kelman Technologies Inc., a public (TSE) company from August 1996 to January 1997; and
Executive Vice-President and Corporate Secretary of Capilano International Inc., a public seismic data acquisitions and processing company from March 1993 to August 1996.
Mr. Stewart has been a director of Alhambra Resources Ltd., a public company (TSX-V), since December 2003 and a Director of Boxxer Gold Corp., a public company (TSX-V), since 1996. He also served as a Director of:
- Eurasia Gold Corp. from May 1992 to November 2000, a public company hich traded on the Alberta Stock Exchange;
- Solid Resources Ltd. from November 2000 to December 2001, a public company which traded on the CDNX;
- Trio Gold Corp. from October 1995 to April 2002, a public company (TSX-V); and Sport Active Inc. from March 1991 to June 1997, a public company which traded on the Alberta Stock Exchange.
He received a Bachelor of Science (Geology) Degree from Acadia University and a Master of Science (Geology) Degree from Acadia University. He was granted the designation P. Geol. by APEGGA in November, 1983.

| | | Guillermo Salazar, P.Geol (AB, BC), M.A. ( Calgary, Alberta) Position: President, Chief Executive Officer and Director
Mr. Salazar has been a self-employed consultant in Calgary, Alberta, since January 1980. From 1995 to 2000 he was Chairman of the Board, President and a Director of Volcanic Metals Exploration Inc. (formerly OroGrande Resources Inc.), a publicly traded company on the TSX-V. Mr. Salazar received an Engineering Degree in Mining at the University Nac. De Ingenieria, Lima, Peru, and an M.A. (Econ Geol) from Harvard University in Cambridge, MA. He was granted the designation P.Eng. and P.Geol. by APEGG of British Columbia in June 1976 and the designation P.Geol. by APEGGA in February 1979.

| | | J. Michael Smith ( Calgary, Alberta) Position: Executive Vice President and Director
In November 1999, Mr. Smith retired after a 38 years with RBC Royal Bank in Edmonton, Alberta. He was part of the Bank's senior management team occupying the position of Area Manager. During his banking career he also held management positions in Calgary, Alberta; Montreal, Quebec and New York, USA. Since retiring, Mr. Smith has acted part-time as a consultant to businesses including 955528 and Copper Fox and is a Director and Treasurer of a registered public charity.

Mr. Agar is semi-retired and has been a self-employed consultant in Calgary, Alberta, since May 1988 to present. Mr. Agar has been a director of:
- Shear Minerals Ltd. (a publicly traded mineral exploration company on the TSX-V) since December 1997;
- Stratabound Minerals Corp. (a publicly traded mineral exploration company on the TSX-V) from June 1995 to December 2001;
- Three Sisters Resorts Ltd. (a publicly traded company on the TSE from November 1989 to December 1999); and
- Destination Resorts Inc. (a publicly traded company on the TSE from July 1997 to December 1999).
Mr. Agar received his Bachelor of Science Degree in Geological Engineering from the University of Saskatchewan and was granted the designation P.Eng. by APEGGA in May 1967.

Mr. Mullen has been a director of Copper Fox Metals Inc. since February 27, 2004. Mr. Mullen is the Chairman & CEO of Cordy Oilfield Services Inc. Previously, Mr. Mullen was with Mullen Trucking LP in various capacities. Mullen Trucking LP is a wholly owned subsidiary of Mullen Group Income Trust, a publicly traded transportation company on the TSX. Mr. Mullen has been a director of Shear Minerals Ltd., a publicly traded mineral exploration company on the Exchange since May, 2000.

Dr. Mann has been self-employed as the owner of Ruthrie Enterprises Ltd., a private mineral exploration and mine development company in Calgary, Alberta, since October 1989. Dr. Mann has been the President and a Director of Planet Exploration Inc. (a public company trading on the TSX-V) since April 1997. He is currently Vice-President, Exploration of Planet Exploration Inc. and has been a Director of Albury Resources (an unlisted public oil & gas exploration company) since 1991. Dr. Mann was a Director of:
- Corsair Exploration Inc. (a public company trading on the TSX-V) from May 1996 to October 1999;
- Contact Exploration Inc. (a public company trading on the TSX-V) from January 1996 to April 2000;
- Uniglobe Ventures Inc. (a public company trading on the TSX-V) from September 1996 to June 1998;and
- Odessa Industries (a public company trading on the TSX-V) from 1994 to 1996.
Dr. Mann obtained a BSc Degree and a BSc Hons. Degree from the University of London (UCRN) in Harare, Zimbabwe. He also received a PhD from the University of London, London, UK and an MBA Degree from the University of Witwatersrand, Johannesburg, South Africa. Dr. Mann was granted the designation P.Geol by APEGGA in 1995.

Mr. MacKay-Dunn is a senior partner at the law firm of Farris, Vaughan, Wills & Murphy LLP. and has over 25 years of practice experience in advising senior public and early stage private companies in a broad range of industry sectors on:
- corporate and general matters;
- complex domestic and cross-border public and private securities offerings; and
- mergers and acquisitions and international partnering transactions.
He is recognized:
- with the highest ranking (AV) for professional excellence Martindale Hubbell (an international peer-based rating organization for lawyers and law firms);
- by LEXPERT American Lawyer Media (2005) as one of the Leading Lawyers in Canada (the sole British Columbia practitioner named in the field of Technology and Biotechnology); and
- as one of Canada's Top 100 Corporate Lawyers in Canada-US Cross Border Transactions).
He has served as Director and Corporate Secretary for Aspreva Pharmaceuticals Corporation and is incoming Chair of the BC Innovation Council, a Provincial Crown Agency, and a Director of Genome British Columbia. Mr. MacKay-Dunn is a member of the UBC Faculty of Science Dean's Advisory Council and the Simon Fraser University Biotech Advisory Council and was appointed Queen's Counsel in 2003.
